1. Acceptance of Terms

By accessing or using Valaria ("Service"), including the website at valaria.health and related clinic dashboards and patient forms, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of a clinic or organization, you represent that you have authority to bind it.

References to "Valaria," "we," "us," or "our" mean Reflect Memory Inc. and its affiliates, officers, and successors. Valaria is a product brand of Reflect Memory Inc..

2. Description of Service

Valaria provides a pre-visit protocol check-in: patients complete a short form via a link or QR code, and clinics view submissions in an inbox. The Service is not an electronic health record, medical device, diagnostic tool, or billing system. It does not provide medical advice.

Our Privacy Policy describes how we collect, use, and protect information.

3. Accounts and eligibility

Clinic features require an account. You are responsible for accurate information, keeping credentials confidential, and activity under your account. You must be at least 16 and able to form a binding contract. We may refuse or limit access.

4. Clinic responsibilities

You agree that you will:

  • Use the Service only for lawful clinic operations and not as a substitute for clinical judgment or required medical records
  • Not instruct patients to enter names, dates of birth, contact information, or other direct identifiers into the form
  • Configure and share only your clinic's own check-in links and QR codes
  • Comply with applicable privacy and healthcare laws for your practice

5. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access, circumvent rate limits, or overload infrastructure
  • Probe, scrape, or index authenticated clinic data or other clinics' submissions
  • Resell the Service or build a competing product from it without written consent

We may suspend or terminate access when we reasonably believe these Terms or the law have been violated.

6. Your content

Clinics own the profile, branding, and form configuration they submit. Submissions entered on a clinic's form are provided so the clinic can operate the Service. You grant us a limited license to host, store, and display that content solely to provide the Service. We do not use it to train AI models or for advertising.

7. Availability and modifications

During the current build period the Service may be offered without charge. We do not guarantee uninterrupted access. We may modify, suspend, or discontinue features, including introducing pricing, with notice where practicable.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Valaria does not provide medical advice and is not a substitute for professional care or required recordkeeping.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLECT MEMORY INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Reflect Memory Inc. from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

11. Intellectual property

Reflect Memory Inc. and its licensors own the Service, including software, design, and branding. These Terms do not grant rights to our trademarks except as needed to use the Service.

12. Termination

You may stop using the Service at any time and request account deletion. We may suspend or terminate access if you breach these Terms or to protect the Service. Survival clauses include disclaimers, limitation of liability, indemnification, and dispute resolution.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in San Francisco County, California.
